Japan Sets Up Working Group on Fair IP Transactions

In August 2025, the Japan Patent Office (JPO), together with the Japan Fair Trade Commission and the Small and Medium Enterprise Agency, launched the “Working Group on Fair Intellectual Property Transactions.” This initiative reflects growing awareness that intellectual property and know-how transactions, including licensing and technology transfer, must be conducted under rules that are transparent, balanced, and consistent with competition policy.

 

The working group will focus on challenges such as the abuse of superior bargaining positions, unclear or one-sided contract provisions, and the disadvantages often faced by small and medium-sized enterprises in negotiations with larger corporations. Drawing on input from academics, industry leaders, and practitioners in law and patent practice, the working group aims to identify practical improvements. Key issues under consideration include model contract clauses, fair licensing guidelines, and alignment with competition law.

 

The working group is expected to influence Japan’s future framework for IP transactions, ensuring fairness while fostering innovation. Its findings may also provide useful guidance for international practitioners involved in cross-border licensing or technology collaborations.
