・Security Interests and Collateral: We have extensive experience advising on security interests, including mortgages on real estate, pledges and assignments of movables for security purposes, assignments of receivables for security purposes, and security interests in intellectual property.
We also handle post-financing matters for both borrowers and lenders. For borrowers, we advise on debt rescheduling and debt forgiveness strategies when fulfilling original repayment plans becomes difficult due to business conditions. For lenders, we handle credit management, including securing collateral for debt preservation, as well as debt recovery and collection.
Equity Finance
We assist both issuing companies and investors with fundraising through common stock, class shares, stock acquisition rights, and bonds with stock acquisition rights (including convertible bonds).
We advise on various types of class shares, including preferred stock (dividend/residual asset distribution preference), shares with put options or call provisions, shares with rights to appoint/dismiss directors, and veto rights (golden shares). We also handle consultations regarding convertible equity commonly used in startup financing.
